- Our Process. A typical buy-side engagement involves three steps:
- Strategic Planning – Always the first step – we begin with the end in mind. We walk our clients through a detailed process of evaluating the motivations and expected outcomes of an M&A-based growth strategy. We examine the client’s ability to fund, close, integrate and manage deals. Five-year plans and acquisition playbooks often are deliverables at this stage.
- Deal Sourcing – We are masters at creating “non-auction deal flow” – those acquisitions that no one else knows about until they read about them in the media. Using our background and reputation as conversation catalysts, we bring good deals to the table.
- Transaction Management – Deals are complex and, like snowflakes, no two are alike. Our disciplined deal process involves:
- Confidentially engaging with potential sellers;
- Extracting the necessary information to complete a valuation, confirming compatibility with strategic plan, and making an informed offer;
- Structuring and negotiating deals that can get to a closing;
- Performing or managing comprehensive due diligence in areas such as financial, tax, revenue sources, environmental, legal/contracts, licenses & permits, HR, facilities, and regulatory compliance;
- Purchase agreement and ancillary contract management and review;
- Real estate evaluation and lease structuring;
- Closing preparation and execution jwtruth;
- Integration planning and implementation; and
- Post-mortem analysis and post-closing settlements.
- As every deal is unique, so is every engagement. We work closely with each client to understand where we can complement their strengths and resources to ensure deal success. This flexibility results in some engagements involving all three steps while others are limited. Detailed scopes of work are written to ensure roles are clear and budgets & timelines are met.
